These Terms of Service govern your use of Exmergo Viz, operated by Exmergo, Inc., a Delaware-incorporated company.

## 1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

## 2. Description of the Service

Exmergo Viz is a SaaS platform that allows users to upload data and use AI agents to generate insights, queries, and data visualizations. The Service includes features for creating, managing, and sharing dashboards.

## 3. User Accounts

- You may register using email, Google, or Microsoft.
- You are responsible for all activities under your account.
- Account tiers: Free, Pro, Ultra (1-user individual licenses), and Enterprise (account-wide, unlimited users).

## 4. User Content

You retain full ownership of data you upload. By uploading, you warrant that you own the data or have the necessary rights, and that it does not violate any third-party rights.

**Prohibited data:** PHI under HIPAA and financial data under PCI-DSS are prohibited without a separate written agreement.

## 5. Acceptable Use

You agree not to:
- Reverse engineer or decompile the Service
- Use the Service to build a competing product
- Introduce malicious code
- Attempt unauthorized access to the Service or its systems

## 6. Intellectual Property

Exmergo, Inc. owns all rights to the Service. AI-generated content (visualizations, queries) created in your account is licensed to you for your own business purposes on a worldwide, perpetual, royalty-free basis. You are responsible for validating its accuracy.

## 7. Published Dashboards

Published dashboards expose only query results — your raw data is never made public. You are responsible for ensuring published content is appropriate for public viewing.

## 8. Disclaimers

THE SERVICE IS PROVIDED "AS IS." AI-GENERATED CONTENT MAY CONTAIN ERRORS OR INACCURACIES. YOU ARE SOLELY RESPONSIBLE FOR VALIDATING ALL GENERATED CONTENT BEFORE USE.

## 9. Limitation of Liability

Exmergo, Inc.'s aggregate liability for all claims is capped at the greater of $100 or amounts paid in the past six months.

## 10. Fees & Subscriptions

- Paid plans (Pro, Ultra) are billed monthly or annually. Subscriptions auto-renew.
- Payments are non-refundable.
- Pro and Ultra plans include a 14-day free trial; a valid payment method is required.
- Enterprise plans are billed per a separate enterprise agreement.
- Payment processing by Stripe, Inc.

## 11. Termination

You may stop using the Service at any time. Exmergo, Inc. may suspend or terminate your account for violations of these Terms. Upon termination, your data will be permanently deleted.

## 12. Dispute Resolution & Arbitration

Disputes are resolved by binding arbitration administered by the AAA under Consumer Arbitration Rules. Class-action waiver applies. You have a 30-day right to opt out by writing to legal@exmergo.com.

## 13. Governing Law

Delaware law governs these Terms.
