Terms of Service for Exmergo Dex
Last modified: October 29, 2026
1. The Short Version
Exmergo Dex is free, open-source software licensed under the Apache License, Version 2.0. That licence governs your rights to the software. These Terms do not narrow it, and where the two conflict, the licence prevails.
In these Terms, "Dex" means only the open-source Exmergo Dex software: the code published in the exmergo/dex repository under the Apache License 2.0, including the releases Exmergo publishes from it to PyPI and to agent plugin directories. It does not mean Dex Enterprise or any other paid product or service Exmergo offers around Dex. These Terms do not apply to those offerings, which are governed only by their own written agreement (see section 11).
There is no Dex account, no fee, and no Exmergo service in the path between you and your data. Dex runs on your machine, inside your own coding agent, using your own warehouse credentials, and it sends Exmergo nothing. The Dex privacy policy sets out exactly where your data does and does not go.
These Terms exist because Exmergo also does things the licence does not cover: we publish Dex through specific channels, write its documentation, answer questions about it, run community spaces around it, and own the Exmergo Dex name. The rest of this page covers those things, and states plainly what Dex can and cannot promise when you point it at a real warehouse.
2. What These Terms Cover
These Terms apply to your use of:
- Exmergo's distribution of Dex. The exmergo/dex repository on GitHub, the
exmergo-dex-corepackage and its reserved companion packages on PyPI, and the Exmergo Dex plugin as Exmergo lists it in agent plugin directories and marketplaces, such as those for Claude and for OpenAI Codex. - Exmergo's materials about Dex. The documentation at docs.exmergo.com/dex and the Dex pages on www.exmergo.com.
- Exmergo's support and community channels for Dex. GitHub issues on the repository, the Exmergo Discord, and correspondence with our team.
- The Exmergo Dex name and logos.
They do not apply to a copy of Dex that someone else has modified or redistributed. That copy is governed by the Apache License and by whatever terms its distributor offers.
3. The Licence
- Your rights in the software come from the Apache License 2.0. It grants you a perpetual, worldwide, royalty-free licence to use, reproduce, modify, and distribute Dex, including for commercial purposes, subject to its conditions: include the licence with any copy you distribute, keep its copyright, patent, trademark, and attribution notices and the
NOTICEfile, and mark files you change. It also includes a patent licence, which ends for anyone who brings a patent claim alleging that Dex infringes a patent. - Nothing in these Terms adds a condition to those rights. Any restriction elsewhere on this page applies to Exmergo's channels, materials, and trademarks, never to what the licence lets you do with the code.
- Contributions. Unless you state otherwise in writing, a contribution you submit to the repository is made under the Apache License 2.0, as section 5 of the licence provides, and you confirm that you have the right to submit it. Contributions are also subject to the repository's contributing guide and code of conduct.
- Dependencies. Dex installs and calls other open-source software, such as dbt-core, MetricFlow, SQLGlot, and warehouse client libraries. Each is licensed by its own authors under its own terms.
4. How Dex Works, and What That Makes You Responsible For
Dex is a toolkit your agent drives on your machine. It connects to the warehouses you configure with credentials it discovers from your own environment, profiles them, answers questions, and proposes changes to your dbt project or semantic layer. Because it acts with your access and on your instructions, the responsibility for that access stays with you:
- Authorization. Only connect Dex to warehouses, projects, and data you are authorized to access and analyze, and only in ways your organization's policies allow.
- Law and your vendors' terms. You are responsible for complying with the laws that apply to your data, including data protection law, and with the terms of your warehouse, cloud, dbt, and AI providers.
- Changes to your project. Dex proposes changes to your repository as reviewable diffs and writes them only when you apply them. Builds run against a development target and refuse a production one. Deciding what to apply, what to build, what to commit, and what to deploy remains your decision and your responsibility.
- What you commit. Dex keeps its state in a
.dex/directory, parts of which are designed to be committed. As the privacy policy explains, that directory can hold values derived from your warehouse and the text of queries your agent ran. Review it before you commit or share it.
5. Warehouse Costs
Dex can run queries and builds that your warehouse provider bills you for. You are responsible for every charge your warehouse, cloud, or dbt provider bills you, including charges incurred while running Dex.
Dex is built to surface cost before it spends: on a metered connector it returns an estimate first, runs only with an explicit confirmation, refuses an estimate above the ceiling you configure, and records actual spend in a local ledger. These controls are safeguards, not a guarantee of what you will be billed:
- Some estimates are heuristic, and some are upper bounds rather than exact figures.
- The ceilings protect only as well as they are configured. Whoever controls the command line, including your agent, can change them. A host can pin a cap on the daily ceiling, but even that cap is not a boundary against an agent with an unrestricted shell.
- The hosted dbt Cloud Semantic Layer cannot be given a ceiling at all. Queries sent there run on dbt Cloud, under your dbt Cloud account's own limits, and every result Dex returns from that path says so.
The cost controls reference documents how the guard works and where it stops. Exmergo does not pay, reimburse, or credit warehouse or provider charges.
6. AI Agents and the Work They Produce
Dex does not call an AI model. Your agent does, and it sends context to the model provider you configured. Your relationship with your agent and your model provider, including how they retain and use what they receive, is governed by your agreement with them. Exmergo is not a party to it.
Everything produced in a Dex session, by Dex or by your agent, can be wrong. That includes SQL, dbt models, tests, semantic models and metrics, profiles, inferred joins, grain and key findings, drift reports, and cost estimates. Review it before you rely on it, apply it, or put it in front of anyone who will. Dex is designed to make that review easier, not to replace it.
7. Personal Data Safeguards
Dex flags columns that look like personal data, refuses to return their values through its query firewall, and offers a values-free mode for hosts that must keep every value out of an agent's context. These safeguards reduce exposure. They are not a guarantee:
- Personal-data detection is heuristic. It can miss a column, and it can flag one that is not personal.
- The firewall governs what a query returns, not what it filters on, so a value written into a filter is visible to the agent that wrote it and is recorded in the local query ledger.
- Values-free mode documents the risks it does not close, such as membership probing and aggregates over very few rows, in its reference.
You remain responsible for deciding which data Dex may connect to, for reviewing any flag a person clears, and for what you send to your model provider.
8. Third-Party Software and Services
Dex works with software and services that Exmergo does not own or operate, including your data warehouse, dbt and dbt Cloud, MetricFlow, SLayer, Cube, the uv tool and the Python package index it installs from, GitHub, Discord, and the agent hosts and plugin marketplaces that list Dex. Your use of each is governed by its own terms and privacy policy. Exmergo is not responsible for their availability, behavior, or charges, and listing Dex in a marketplace does not make its operator a party to these Terms.
9. Trademarks
"Exmergo," "Exmergo Dex," and the Exmergo logos are trademarks of Exmergo, Inc. As section 6 of the Apache License states, the licence does not grant permission to use them, except as needed to describe where the software came from and to reproduce the NOTICE file.
- You may use the names accurately to refer to the software, for example "built on Exmergo Dex," "a fork of Dex," or "works with Exmergo Dex."
- You may not present a modified version of Dex as the official Exmergo Dex, publish it under the Exmergo Dex name or logo in a package index or plugin marketplace, or use our names in a way that suggests Exmergo produced, sponsors, or endorses something it did not. If you distribute a modified version, give it a name of your own.
10. Support, Security, and Community
- Support. Questions and bug reports go to GitHub issues. We help on a best-effort basis, with no service level, and fixes ship in the latest release rather than being backported. Support commitments, where they exist, come only from a separate written agreement.
- Security. Report a vulnerability privately through a GitHub security advisory or to security@exmergo.com, never in a public issue, and never with real credentials or real warehouse data. The repository's security policy describes what to expect.
- Community. The repository's code of conduct applies in its issues and pull requests and in the Exmergo Discord. Discord's own terms also apply to your use of Discord. Conduct concerns go to conduct@exmergo.com. We may remove content or restrict participation in our channels to enforce the code of conduct. Doing so never affects your rights under the licence.
11. Commercial Offerings
Exmergo may offer paid products and services around Dex, such as Dex Enterprise. These Terms do not apply to them. Each is governed only by its own written agreement with Exmergo, and nothing on this page describes, limits, or adds to what that agreement says. A paid offering may run the open-source Dex engine, and the Apache License 2.0 continues to govern that engine wherever it runs. The open-source software in the repository remains under the Apache License 2.0 and remains free.
12. Disclaimer of Warranties
CONSISTENT WITH SECTION 7 OF THE APACHE LICENSE 2.0, DEX IS PROVIDED "AS IS," WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. THE SAME APPLIES TO EXMERGO'S DOCUMENTATION, LISTINGS, SUPPORT, AND COMMUNITY CHANNELS FOR DEX. EXMERGO DOES NOT WARRANT THAT DEX WILL BE ERROR-FREE, THAT ITS ESTIMATES WILL MATCH WHAT YOU ARE BILLED, THAT IT WILL DETECT ALL PERSONAL DATA, OR THAT ITS OUTPUT WILL BE CORRECT. YOU ARE SOLELY RESPONSIBLE FOR DETERMINING WHETHER IT IS APPROPRIATE TO USE DEX AND FOR THE RISKS OF DOING SO.
13. Limitation of Liability
CONSISTENT WITH SECTION 8 OF THE APACHE LICENSE 2.0, AND TO THE FULLEST EXTENT PERMITTED BY LAW, EXMERGO, INC. AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, AND CONTRIBUTORS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM DEX OR FROM EXMERGO'S DOCUMENTATION, LISTINGS, SUPPORT, OR COMMUNITY CHANNELS FOR DEX, INCLUDING WAREHOUSE OR PROVIDER CHARGES, LOSS OF DATA, LOSS OF PROFITS OR GOODWILL, WORK STOPPAGE, OR COMPUTER FAILURE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT ANY LIABILITY CANNOT BE EXCLUDED, EXMERGO'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO DEX WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Dex is free, and no fees are paid for it. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, such as liability for deliberate or grossly negligent acts where the law requires it.
14. Export Controls and Sanctions
You are responsible for complying with the export control and sanctions laws that apply to you when you download, use, or distribute Dex.
15. Ending Your Use
You can stop using Dex at any time by uninstalling it. Exmergo may stop publishing Dex through any channel, stop maintaining a listing, stop providing support, or remove access to our community channels. None of that revokes the Apache License for copies you already have. The licence ends only on its own terms. Sections 3, 9, and 12 through 16 continue to apply after you stop using Dex.
16. Governing Law and Disputes
These Terms, and any dispute arising out of or relating to them or to Dex, are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The state and federal courts located in Delaware have exclusive jurisdiction, and you and Exmergo consent to their jurisdiction. Nothing here limits rights you hold under the mandatory law of your own country of residence, including the right to bring proceedings in your local courts where that law gives you one.
17. Changes to These Terms
We may update these Terms. We will post the revised version here and update the date at the top. If a change materially affects your rights, we will announce it in the repository's release notes before it takes effect. A change to these Terms never changes the licence of a Dex release you have already received.
18. Scope and Contact
This annex forms part of the Exmergo Terms of Service and is incorporated into them by reference. The main Terms cover the Exmergo website and the provisions common to every Exmergo product. Where the two differ on a Dex question, this annex governs. Exmergo Viz is a hosted service with a different model and is covered by its own annex, the Terms of Service for Exmergo Viz.
